    Appointment Of Independent Registered Valuer -Karnataka State Forest Industries Corporation Limited ( Transferor Company ) Shall Be Merged With The Eucalyptus Wing Of The Karnataka Forest Development Corporation Limited ( Transferee ) And The Rubber Wing Of Karnataka Forest Development Corporation Limited ( Demerged Company ) Would Be Demerged And Shall Merge With The Karnataka Cashew Development Corporation Limited ( Resulting Company ) Under The Composite Scheme In Accordance With Sections 391 To 394 Of The Companies Act, 1956 And Any Other Applicable Provisions Of Companies Act, 2013, Including Applicable Rules And Regulations Made There Under.Kfdc Intends To Engage An Eligible Independent Valuer Who Would Carry Out The Exercise Of Valuation Of The Three Companies To Determine Share Swap Ratio As Per Prevailing Tax And Regulatory Frame Work For The Above Mentioned Merger And Demerger. The Broad Scope Of Services Would Include ( I ) Study And Evaluation Of The Present Operations Of All The Companies And Business Units ( Ii ) Reviewing And Understanding Future Business Plans Of All The Companies. ( Iii ) Understanding Various Components Of Assets And Liabilities In The Present Business Of The Company. ( Iv ) Determining Fair Value Of Equity Shares Of Each Of The Companies Using Multiple Methods Of Valuation. ( V ) Determining Share Exchange Ratio Of Equity Shares In The Event Of Merger / De-Merger. ( Vi ) Preparation And Submission Of Two Copies Of Final Report On Share Exchange Ratio.
