Tenders are invited for Recruitment of a Trainer Legal Awareness and Business Formalization Closing Date: Wednesday, 07. May 2025 Intervention Sector(s): Advocacy & Awareness, Business & Economic Policy, Law & Legal Affairs Duration of Contract: Starting May 31, 2025 Objective of the Assignment The objective of this assignment is to raise awareness among MSMEs on the legal frameworks governing small businesses in Lebanon and to guide them through the processes of registration, formalization, and legal compliance. The sessions should enable MSMEs to make informed decisions, avoid legal risks, and benefit from formal sector advantages (access to finance, markets, protection, etc.). Scope of Work The selected trainer or legal expert will: - Design and deliver two in-person workshops focused on enhancing legal awareness and business formalization of agri-food and agriculture-oriented MSMEs, with content customized according to enterprise size. The first workshop will serve 10 micro enterprises, and the second will cater to 20 small and medium enterprises. - Develop and submit the training agenda and supporting materials. - Conduct two to four one-on-one hybrid clinics (online and/or in-person) for approximately 25 MSME. - Coordinate with MDSF to identify which clinics will be held on-site at the MSMEs premises and to determine the number of sessions allocated to each MSME. - Conduct pre- and post-training assessments to measure knowledge gained. - Submit a final report summarizing training outcomes, clinic insights, and key recommendations. Suggested Session Topics - Legal identity of MSMEs: rights and obligations - Business registration processes and required documents, and legal entity types - Taxation obligations and registration - NSSF registration and compliance - Key legal requirements for formalization, Risks and benefits of business registration - Access to markets and services through formalization - Understanding contracts: Key components and Drafting simple agreements - Intellectual property rights (Trademark, Copyright, Patent) and Brand protection strategies - key Compliance topics such as Tax, social security, intellectual property and municipal regulations Potential documents to be shared with the trainees: guides on business registration, legal structures, tax obligations, and compliance, along with practical templates such as contract builders, planning worksheets, and calendars, etc Recommended Tools for MSMEs To help MSMEs apply the legal knowledge shared during the session and clinics, the trainer is expected to provide or recommend the following tools: - Business Registration Checklist: Step-by-step list of required documents and steps for registering different business types (sole proprietorship, partnership, LLC). - Legal Entity Comparison Sheet: A simple table comparing types of legal structures (advantages, risks, costs, obligations). - Contract Template: A basic Arabic-language contract sample with key clauses explained, adaptable to MSME needs. - Risk Identification Tool: A worksheet to help MSMEs identify potential legal risks and mitigation strategies. - IP Rights Overview: A one-pager explaining intellectual property protections (brand names, packaging, recipes). - Municipality and MOF Guide: Directory of relevant local offices and online platforms with links and contact info. - Tax and NSSF Overview: Summary of key obligations and thresholds for taxation and registration with the National Social Security Fund. Deliverables - Detailed training agenda and methodology - Training materials (presentations, exercises, handouts) - Attendance list and pre/post evaluation results - One-on-One MSME coaching session/clinics reports - Final summary report with key outcomes and recommendations Duration and Timeline - Training: 2 full days (specify the number of hours required per day for each workshop, one designed for small and medium enterprises, and the other for micro enterprises), tentatively scheduled for May 31, 2025 and June 7, 2025 at MDSF premises in Ferzol Main Road. - Clinics: Approximately 50 to 70 sessions, each lasting around 30 minutes, will be delivered over a period of 2 to 3 weeks following the training. Payment Terms - Payment will be made via bank transfer or Telegraphic Transfer (TT): 40% upon completion of the 2-days training and the remaining 60% upon completion of all clinics and submission of the final report - Vendors without a valid MOF certificate will be subjected to tax deductions in accordance with Articles 41 and 42 of the Lebanese income tax law (3.4% on goods and 8.5% on services).
